1. Acceptance of These Terms

Welcome to Promatly AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and **[Your Company's Legal Name, e.g., Promatly AI Ltd.]** ("we", "us", "our"). These Terms govern your access to and use of our website, software, and services (collectively, the "Service").

By creating an account, or by accessing or using our Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.

Your use of the Service is also governed by our Privacy Policy and GDPR Statement, which are incorporated herein by reference.

2. Account Registration and Security

To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

You are solely responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation. You must be at least 18 years of age to use the Service.

3. The Service and Licence Grant

Promatly AI provides a platform for AI prompt scoring, analysis, and the generation of n8n-compatible workflow files. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal or internal business purposes, in accordance with your subscription plan.

4. Subscriptions, Fees, and Payment

The Service is offered under various subscription plans, including a free plan with a limited number of AI interactions ("Generations" or "credits") and paid plans with expanded features and higher Generation limits.

• Billing Cycle: Paid subscriptions are billed in advance on a recurring monthly or annual basis through our third-party payment processor, Stripe. By providing a payment method, you authorize us to charge the applicable subscription fees.
• Automatic Renewal: To ensure uninterrupted service, your subscription will automatically renew at the end of each billing cycle unless you cancel it via your account settings before the end of the current period.
• Usage Limits: Each plan is subject to a specific number of Generations per month. Unused Generations do not roll over to the next month unless explicitly stated in the plan details.
• Price Changes: We reserve the right to change our subscription fees. We will provide you with at least 30 days' notice of any fee changes. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the modified fee.

4.1. Cancellation and Refund Policy

Our refund policy is designed to be fair and compliant with UK consumer law.

• Statutory Cooling-Off Period (UK/EU Consumers): By law, you have a 14-day cooling-off period starting the day after you subscribe, during which you can cancel for any reason and receive a full refund, **provided you have not used the Service**.
• Waiver of Cooling-Off Period: By using any of your paid Generations (e.g., scoring a prompt, generating a workflow), you are giving your express consent to the immediate performance of the service. You acknowledge that by using the service during the 14-day cooling-off period, you **waive your right to a refund**.
• Cancellation After Use or After 14 Days: If you cancel your subscription after using any of your allocated Generations or after the 14-day cooling-off period has expired, your cancellation will take effect at the end of your current billing period. You will retain access to your plan's features until that date, and you will not be charged again. **Fees for the current and past billing periods are non-refundable in this case.**
• How to Cancel: You can manage and cancel your subscription at any time through the secure Stripe billing portal, accessible via your account settings page.

5. User Content and Intellectual Property

5.1. Your Content

You retain all ownership rights to the prompts and other content you submit to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free licence to use, process, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service for you. This licence is limited and necessary for us to, for example, send your prompt to the OpenAI API and return a generated workflow.

5.2. Our Intellectual Property

The Service, including its underlying software, algorithms, user interface, branding, and all other content provided by us, is the exclusive property of Promatly AI Ltd. and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or other brand features.

6. Acceptable Use Policy

You agree not to use the Service for any unlawful or prohibited purpose. You shall not:

• Use the Service to generate, store, or transmit any content that is unlawful, harmful, defamatory, obscene, or infringing upon the rights of others.
• Attempt to reverse-engineer, decompile, or otherwise discover the source code of the Service.
• Use any automated system, such as "bots" or "spiders," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
• Resell, sublicense, or otherwise share your account access with any third party.
• Use the Service to develop a competing product or service.

7. Term and Termination

This agreement is effective from the date you create an account and continues as long as you use the Service.

You may terminate this agreement at any time by cancelling your subscription and deleting your account via the Settings page.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease, and we will proceed with the deletion of your data in accordance with our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROMATLY AI LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO US FOR THE USE OF THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from these Terms.

11. General Provisions

• Changes to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, for example by sending an email or posting a notice on our Service. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.
• Entire Agreement: These Terms, together with our Privacy Policy and GDPR Statement, constitute the entire agreement between you and us regarding the Service.
